Attention, the final date to submit responses to the invitation has been postponed to 30 June 2007. Until 13 July 2007, upon reviewing of all documents, the Board of Directors of the Port of Gdansk Authority SA shall inform all applicants who submitted the declaration to purchase of shares about the results of the consideration of their offers.

pursuant to Article 5, paragraph 1 of the Law of 16 December 2004 on amendments to the Act on Seaports and Harbours and amendments to others Laws (Journal of Laws No 281, it. 2782)

invites all interested parties to negotiations concerning the purchase of 287,742 shares of the Port of Gdansk Cargo Logistics Ltd with its seat in Gdansk, ul. Wladyslawa IV 5, 80-547 Gdansk, comprising 98.28% of initial capital, owned by Port of Gdansk Authority SA.

"Port Gdanski Eksploatacja" Spolka z ograniczona odpowiedzialnoscia (Port of Gdansk Cargo Logistics Limited Liability Company) was established in 1991 and entered into the National Court Register kept by the District Court Gdansk North ul. Piekarnicza 10 under KRS number 0000058582.

The scope of business of the Port of Gdansk Cargo Logistics Ltd includes activities such as:

  • cargo handling and warehousing services, as well as others ship services,
  • marketing and canvassing of port services,
  • forwarding services,
  • accounting and invoicing of port's own and outsourced basic and supplementary services,
  • implementation of technological and operational innovations and initiating of activities towards the port development,
  • repairs and investment activities,
  • consulting and brokerage services.

The initial capital of the Port of Gdansk Cargo Logistics Ltd amounts to PLN 14,639,050.00 and divides into 292,781 shares with nominal value of PLN 50.00 each. The main shareholder is the Port of Gdansk Authority SA. The invitation to negotiations is directed to all parties interested in the purchase of 98.28% of shares of the Port of Gdansk Cargo Logistics Ltd (i.e. 287,742 shares).
Further information about the Company and the sale of shares can be found in the Memorandum of Information, which will be available at the seat of Port of Gdansk Authority SA from 24 April 2007. In order to obtain the Memorandum, it will be necessary to sign a "statement of confidentiality of data" . The Memorandum of Information will be available at a charge of PLN 300.00 (including VAT) per copy.

The statement of confidentiality of data is signed by representatives authorised by the investor and listed in relevant records (kept by the National Register of Entrepreneurs - KRS, state institutions or municipalities), an updated copy of which should be submitted. Foreign companies are required to provide an appropriate copy of records from a relevant register where an entry record of such company was made. The copy of records shall be translated into Polish and authenticated by a sworn translator.

All responses to the invitation and documents defining the profile of companies interested in entering the negotiations stipulated in the Memorandum of Information and drawn up in the Polish language should be submitted until 30 June 2007 in a sealed envelope marked "Declaration to purchase of shares of Port of Gdansk Cargo Logistics Ltd - do not open" to the CEO's secretary's office between 08:00-15:00 hrs or sent by mail. The date of delivery shall be the date of the stamp. Until 13 July 2007, upon reviewing of all documents, the Board of Directors of the Port of Gdansk Authority SA shall inform all applicants who submitted the declaration to purchase of shares about the results of the consideration of their offers. The Port of Gdansk Authority SA have the right to select, at their own discretion, companies with whom the negotiations will be launched or cancelled without giving a reason and may extend the deadline for submitting the offers. The Port of Gdansk Authority SA shall be exempt from reimbursing the companies interested in the purchase of shares for the incurred expenses.
